DEFINITIONS

The following capitalized terms have the meanings indicated below. 

“Administrative Hold” means a soft hold preliminary to a Reservation, also known as a “pencil booking.”  However, your use of site holds, maintenance holds or pencil bookings to block RV spaces or campsites as "long term sites" or "season sites,” and associating a guest record with a hold will be treated as a Reservation.

“Booking Fee” means the compensation due to Enterstate for Reservations made by Guests. 

“Connection Fee” means the compensation due to Enterstate to continue IndioApp users’ ability to make Reservations at your RV park/campground.

“Guest” means any prospective customer of your RV park/campground. 

“IndioApp” means the Indio® administrative software system commonly known as “IndioApp” which includes features for accepting and managing reservations for recreational vehicle parks and campgrounds and other goods and services you may offer at your facility.

“Long-Term Booking” means a Reservation with a duration of more than 29 days.

“Month-to-Month Booking” means a Reservation with a duration of more than 29 days that is renewable for additional monthly periods.

“Reservation” includes, but is not limited to, any form of a date and space specific designation to a Guest of any overnight accommodation, campsite, tent site, cabin or recreational vehicle space, and any add-on available for rent using IndioApp.  An Administrative Hold made through IndioApp shall not constitute a Reservation for purposes of calculating Booking Fees, but any resulting formal booking will constitute a Reservation resulting in a Booking Fee. 

“Short-Term Booking” means a Reservation with a duration of from 1 to 29 days.

PRICING

1. Your Prices. You have sole discretion to set the prices for your accommodations and other products and services that you offer using the Services.  By logging into your Account, you will be able to enter the list of products and services you offer to Guests, along with the standard price for each item.  You can also set up your Account to pass through Booking Fees to your Guests or to bear the Booking Fees yourself.

2. Installation on IndioApp.  Free installation via web browser.  At your request, Enterstate will design a park map and provide it and working files to you for a  $1,497 flat fee.  Enterstate will also provide a reasonable amount of free technical support for the first 30 days following your IndioApp’s “go-live” date.

3. Connection Fees.  You will be charged a monthly Connection Fee of $175.00.

4. Booking Fees. 

(a) Short-Term Booking:  $3.00 per booking.  

(b) Long-Term and Month-to Month Booking:  $3.00 per Reservation month 

For purposes of this Order, a discounted Reservation and/or a subsequent cancellation of a Reservation shall not reduce the above per-transaction fees. 

5. Increases.  We may periodically increase the prices we charge for the Services.  Price increases will be communicated to you 90 days before going into effect.  You may terminate this Order without penalty by giving us written notice within 30 days of your receipt of our price increase notice.
